About the Role
We are seeking a Company Secretary to support corporate formation and transformation assignments involving legal entities, holding companies and SPVs; establish governance and finance-control frameworks; conduct audits and ensure disciplined implementation tracking and management reporting.
Required Qualifications and Skills
Duties and Responsibilities:
Study existing ownership, legal-entity and operating structures and recommend suitable legal-entity, holding-company, subsidiary and SPV structures.
Support the formation, restructuring and implementation of approved corporate structures and prepare entity charts, ownership maps and implementation roadmaps.
Develop governance frameworks, committee structures, authority matrices, roles, accountabilities and decision-making mechanisms.
Review finance and business processes, conduct audits, identify control gaps and recommend practical improvements. • Delegation of Authority frameworks.
Prepare and support implementation of Finance Risk and Control Matrices.
Maintain a consolidated task tracker and follow up with stakeholders for timely closure of assigned actions.
Identify and escalate risks, dependencies, delays and decisions required from management.
Prepare and present structured progress reports, decision notes and management presentations.
Maintain complete documentation of approvals, decisions, deliverables and implementation status.
Required Qualifications and Skills:
- Certified Company Secretary (ICSI)
- Minimum 2 years of experience in Corporate Structuring, Governance, Internal Controls, Corporate Advisory or a related consulting role.
- Industry experience with Corporate Advisory, Consulting, Governance, Legal/Corporate Services or related - (Family-owned groups, diversified businesses, real estate, holding companies or multi-entity organizations)
- Hands-on experience with Advanced Microsoft Excel/PowerPoint/Word.

Other Details:
Working days and hours : Monday to Friday (9 hrs/day) 8:30 until 17:30
Candidate should be currently in or willing to relocate to Dubai, UAE.
